By engaging with ProsNexus and using our services, you agree to the following terms:

1. Ownership & Rights:
All branding, copywriting, visual content, and digital strategies provided remain the intellectual property of ProsNexus unless otherwise agreed in writing.

2. Service Disclaimer:
ProsNexus provides strategic and branding services. While we offer data-backed methods and expert input, we do not guarantee 100% success or measurable outcome within a fixed time frame. Results may vary per client.

3. Payment & Refunds:
• A minimum of 40% upfront payment is required to initiate any service.
• This upfront fee is non-refundable under any circumstances.
• Any paid advertisements or promotions are charged separately and directly paid by the client.

4. Additional Services:
Only the services outlined in the selected package are included. Any additional requests will be quoted and billed separately.

5. Client Data and Confidentiality:
• All data and internal details shared by clients are kept confidential.
• We do not share your data with any third party unless required by law or with explicit consent.
• Clients may opt to sign an NDA to formalize this confidentiality.

6. Limitation of Liability:
ProsNexus will not be liable for any direct or indirect losses arising from the use or inability to use our services. The client is solely responsible for how services are used or executed.

7. Modifications:
We reserve the right to update or change this policy at any time without prior notice. Continued use of our services implies acceptance of the latest version of these terms.

Additional Clause

1. Revisions & Complaints: Any complaints, revision requests, or concerns must be submitted within 7 days from the delivery of the service. Requests made after this period may be subject to additional fees or may not be entertained.

Additional Protection Clauses

1. Portfolio Display: ProsNexus reserves the right to showcase completed work in its portfolio or marketing materials unless the client explicitly requests otherwise in writing prior to project completion.
2. Client Responsibility: ProsNexus is not responsible for suboptimal results due to the client’s delay in providing content, approvals, access, or essential feedback required for timely and effective execution of the services.
3. Project Delays: If the client delays the project by more than 14 days without a justified reason or communication, ProsNexus reserves the right to pause or terminate the project without issuing a refund for the initial or any further payments.

Legal Compliance & Interpretation

1. Legal Compliance: The client is responsible for ensuring that the services requested are in compliance with applicable local laws and regulations. ProsNexus shall not be held liable for any legal issues arising from the client’s use of the services.
2. Language & Interpretation: This agreement is governed by the English language. In the event of any translation, the English version shall prevail in case of conflict or misinterpretation.

Advanced Legal Clauses

1. One-Way Confidentiality: ProsNexus maintains confidentiality regarding all client data, but no reciprocal confidentiality is implied unless a mutual NDA is signed and acknowledged by both parties.
2. Official Communication Channels: All communication regarding the project must be conducted via official company channels (email or documented WhatsApp). Informal conversations shall not be considered binding or enforceable.

Additional Legal Protection

1. Client-Provided Materials Disclaimer: ProsNexus is not liable for any errors, copyright violations, or damages resulting from materials (images, text, videos, or others) provided by the client for use in the project. The client assumes full responsibility for the accuracy and legal use of any content submitted.

Final Legal Clauses

1. Policy Update Clause: ProsNexus reserves the right to update or modify this policy at any time. Clients are responsible for reviewing the most current version available on our official platforms.
2. Entire Agreement Clause: These terms and conditions constitute the entire agreement between ProsNexus and the client, superseding all prior communications, proposals, or understandings—whether oral or written.
